1. Agreement to Terms
These Terms and Conditions form a legally binding agreement between you ("you", "Client") and Chainbox Technology Limited ("we", "us", "our") regarding access to this website and any related professional technology services (including software delivery, cloud engineering, integrations, and support) that we agree to provide. By browsing this site or instructing us to commence work, you confirm that you have read and accept these terms or the superseding written agreement referenced at onboarding.
2. Intellectual Property Rights
Unless otherwise agreed in writing, the website, underlying code, documentation templates, and pre-existing tools or libraries owned by Chainbox Technology Limited remain our intellectual property. Custom deliverables specified in a statement of work transfer to the Client upon receipt of cleared funds for the applicable milestone, except for third-party components governed by their own licences. Client materials supplied to us remain Client property.
3. Service Provision and Payment
Technology services are supplied strictly in accordance with an order form, statement of work, or master services agreement executed by authorised representatives. Fees, acceptance criteria, dependencies, and timelines will be documented there. Late payment may result in suspension of work, removal of non-production environments, or suspension of support entitlements until balances are settled.
4. Prohibited Activities
You agree not to misuse our website or services, including by attempting unauthorised access, introducing malware, infringing third-party rights, or requesting deliverables that would violate applicable law. You warrant that data, credentials, and specifications you provide are accurate and that you have authority to share them.
5. Term and Termination
These website terms remain in effect while you use the site. Service engagements continue for the term stated in the relevant contract. Either party may terminate in line with the notice and cure provisions in that contract. Without limiting other remedies, we may suspend or refuse service where there is a material breach, non-payment, or an unacceptable security or reputational risk.
6. Governing Law
These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, subject to any mandatory provisions of law that cannot be waived.
